1. PARTIES

This Confidentiality Agreement (“Agreement”);

has been entered into between the parties listed above.

451 Atelier and the Author shall collectively be referred to as the “Parties”.

451 Atelier may provide services under this Agreement through editors, employees, and beta readers included in the process with the Author’s consent. Such persons act under the supervision and responsibility of 451 Atelier.

2. SUBJECT AND PURPOSE OF THE AGREEMENT

The purpose of this Agreement is to establish the procedures and principles for the mutual protection of confidentiality relating to:

• works, texts, drafts, and other content shared by the Author,

• and analyses, evaluations, and methods provided by 451 Atelier.

3. DEFINITION OF CONFIDENTIAL INFORMATION

All information and content listed below shall be deemed “Confidential Information”:

3.1 Confidential information belonging to the Author:

• Novels, short stories, screenplays, draft texts (e.g. )

• Characters, plot structure, ideas

• The file in its entirety or any part thereof

3.2 Confidential information belonging to 451 Atelier:

• Editorial analyses and feedback

• Evaluation methods and techniques

• Business processes and working model

4. CONFIDENTIALITY OBLIGATION

The Parties undertake, represent, and warrant that they shall:

• not share Confidential Information with third parties,

• use it solely for the purposes contemplated under this Agreement,

• take all necessary technical and administrative safeguards.

5. ACCESS AND SHARING LIMITS

The Author acknowledges that their file may be reviewed by:

• editors assigned within 451 Atelier only,

• a limited number of beta readers where necessary.

451 Atelier undertakes to:

• restrict access to persons who require it,

• prevent uncontrolled distribution.

6. DATA PROCESSING AND USE OF ARTIFICIAL INTELLIGENCE

Confidential Information may be processed solely for the purpose of review, analysis, and performance of services under this Agreement.

Auxiliary tools and technologies may be used within this scope. However, use that could result in:

• Confidential Information becoming public,

• access by third parties,

• inclusion in datasets, training processes, or reuse,

• uncontrolled reproduction or dissemination of content

is strictly prohibited.

The Parties agree to act in a manner that does not breach confidentiality in all tools and methods used.

7. EXPRESS PROHIBITIONS

The Parties agree that they shall not:

• copy Confidential Information,

• reproduce it,

• publish it,

• transfer it to third parties,

• use it for commercial purposes.

8. PROVISIONS RELATING TO BETA READERS

Beta readers:

• are subject to confidentiality obligations,

• may review content solely for evaluation purposes,

• may not share content with third parties.

451 Atelier is responsible for ensuring that beta readers comply with these obligations.

9. TERM

This Agreement:

• remains in force for the duration of the business relationship between the Parties,

• confidentiality obligations continue indefinitely after the business relationship ends.

10. BREACH AND INDEMNITY

In the event of breach of this Agreement, the breaching party agrees to:

• compensate all direct and indirect damages,

• be liable for claims by third parties,

• pay litigation costs and attorneys’ fees.

11. EXCEPTIONS

The following information is not confidential information:

• information that has become publicly available,

• information that must be disclosed due to legal obligation.

12. COMPETENT COURT

Ankara Courts and Enforcement Offices shall have jurisdiction over disputes arising from this Agreement.

13. EFFECTIVENESS

This Agreement enters into force and becomes binding upon execution by the Parties electronically or in physical form.
